The MotorXP Referral Reward Program (the “Program”) is a long-term referral partnership between Vepco Technologies, Inc. (“Vepco”) and a Referrer that enables Referrers to earn a Reward by recommending MotorXP software (the “Software”) to Referred Users. Participating in the Program, you agree to these Referral Program Terms and Conditions (the “T&C”).
1. Definitions
1.1. “Referrer” means any individual who has a valid MotorAnalysis/MotorXP account with a confirmed Referrer Email Address linked to that account.
1.2. “Referrer Email Address” means an email address linked to the MotorAnalysis/MotorXP account and used for the identification of the Referrer while participating in the Program.
1.3. “Referred User” means someone who meets all of the following conditions:
1.3.1. any potential user of the software, who is neither a current nor pending customer, and who is not a Referrer;
1.3.2. to whom a Referrer has referred any information about the Software.
1.5. “Successful Referral” means the first purchase of the Software from Vepco by a Referred User paid within 30 days of the date of invoice.
1.6. “Purchase Amount” means the amount paid for a Successful Referral, paid within 30 days of the date of invoice.
1.7. “Reward” means (i) cash or gift card paid to the Referrer for the Successful Referral. You can earn a maximum of $500 in cash or equivalent rewards per one year from Jan 1st to Dec 31st of the same year. Or, (ii) credit for a purchase of the Software issued to the Referrer for the Successful Referral and used to pay for the Software in part or in full. The credit is valid for 2 years. You may opt to apply the credit to the Referred User purchase of the Software.
2. Overview of the Program
2.1. You must provide your Referrer Email Address to the Referred User to whom you promote the Software and the Referred User must fill in your Referrer Email Address in the MotorXP-PM Subscription Request form in order for Vepco to associate you with the Referred User.
2.2. You can earn a Reward only if you refer a Referred User to the Software and that Referred User makes a Successful Referral.
2.3. For each Successful Referral, the Referrer who referred the Successful Referral will be awarded a Reward in the form and amount described below.
2.4. By taking part in the Program, you agree to:
2.4.1. comply with all applicable commercial and public anti-bribery laws;
2.4.2. send referral emails only to people that you know; and
2.4.3. not engage in any activity that may be considered fraudulent, invasive, or spamming.
2.5. Vepco will provide a 5% discount on each Successful Referral. Any subsequent purchases made by the Referred User will not qualify for such a discount.
3. Referral Reward System
3.1. For each Successful Referral, Vepco will issue a Reward for the corresponding Referrer in an amount based on the Purchase Amount. No Reward will be given in relation to any referrals that are not Successful Referrals.
3.2. The value of the Reward will be equal to 5% of the Purchase Amount for first ten Successful Referrals and 10% of the Purchase Amount for every subsequent Successful Referral.
3.3. A Reward will be given for each Successful Referral you make as a Referrer. The value of the Reward is based solely on the Successful Referral. Any subsequent purchases made by the Referred User will not qualify for a Reward.
3.4. If you earn a Reward, you must confirm your personal details with Vepco within 30 days from the date Vepco notifies you of a Successful Referral; otherwise, you will forfeit the Reward.
4. Taxes and Fees
If you receive a Reward under the Program, you are responsible for all applicable taxes and fees resulting from it.
5. Release of Liability
By participating in the Program, you release Vepco and its agents from all liability, including, without limitation, all liability with respect to any and all Rewards.
6. Termination and Change
6.1. Vepco may suspend or terminate the Program or a user’s ability to participate in the Program at any time for any reason.
6.2. Vepco reserves the right to deny any Rewards if we notice any activity that we believe is abusive or fraudulent. We reserve the right to review and investigate all referral activities and to modify referrals as we deem fair and appropriate.
7. Updates to these T&C
Vepco reserves the right to update these T&C at any time without prior notice. If Vepco modifies these T&C, the modified T&C will be posted herein with the modification date indicated, and such modification is effective upon posting. Continued participation in the Program after any modification shall constitute consent to such modification.
8. Disclaimer of Warranties
The Program is provided “as-is”. Vepco disclaims all other warranties, express or implied, including, without limitation, warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement. Vepco makes no warranties or representations about the accuracy or completeness of the content provided herein and assumes no liability or responsibility regarding the Program.
